NY Car Wash Accountability Act Notice: Car wash operators in New York State must post a surety bond with the NYS Department of Labor, carry workers' compensation insurance, and comply with all wage notice requirements under NY Labor Law § 190-c. See Section 3 below for full details.
Agreement to Terms
By submitting a vendor application, completing the onboarding process, or operating as a certified RideFresh partner location, you agree to be bound by these Vendor Terms. These terms govern the relationship between RideFresh Solutions LLC ("RideFresh") and any business entity or individual ("Vendor") participating in the RideFresh partner network. If you do not agree to these terms, do not apply or continue as a partner location.
Vendor Eligibility & Required Licenses
To participate in the RideFresh partner network, vendors must:
• Operate a licensed car wash, auto detailing, or vehicle care facility within an active RideFresh service area
• Hold all required New York State and local business licenses and permits
• Maintain general liability insurance with minimum coverage appropriate for your business type
• Comply with all applicable federal, state, and local laws and regulations
RideFresh reserves the right to verify eligibility at any time and to remove vendors who no longer meet the required standards.
NY Car Wash Accountability Act — Required Disclosures
New York Labor Law § 190-c (the "Car Wash Accountability Act") imposes specific requirements on car wash businesses operating in New York State. If you operate a car wash establishment (as defined under the Act), the following requirements apply to your business and must be maintained independently of your participation in the RideFresh network:
Surety Bond Requirement: Car wash employers in New York State are required to post and maintain a surety bond with the New York State Department of Labor. The bond amount is set by regulation and is designed to protect worker wages. Operating without a valid bond is a violation of New York law.
Wage Theft Notice: You are required to provide each employee with written notice of their wage rate, pay day, and employer contact information at the time of hire and whenever rates change, as required under New York Labor Law § 195.
Workers' Compensation: New York State law requires car wash employers to carry workers' compensation insurance for all employees. Proof of coverage must be available upon request.
Posting Requirements: You are required to post the New York State Minimum Wage Notice, Workers' Compensation Notice of Compliance, and any other required workplace notices in a conspicuous location accessible to employees.
RideFresh does not verify, warrant, or guarantee vendor compliance with the Car Wash Accountability Act. Each vendor is solely responsible for their own compliance. RideFresh reserves the right to remove from the network any vendor found to be operating in violation of applicable labor laws.

Onboarding & Listing
Vendors approved for the network will complete an onboarding session with the RideFresh team, during which station information, services offered, hours of operation, and capacity details will be collected. Vendors are responsible for notifying RideFresh of any material changes to this information — including hours, services, pricing, or location status — within 48 hours of the change. RideFresh will use this information to configure your listing and route driver traffic accordingly.
Certified Operator Status
Participation in the RideFresh network confers Certified Operator status, which is contingent on maintaining the service standards established during onboarding. RideFresh may conduct periodic reviews of vendor performance, including driver feedback and service quality indicators. Certified Operator status may be revoked if a vendor fails to meet these standards. Revocation terminates the vendor's access to the network and driver traffic routing.
Driver Pricing & Member Rates
Vendors agree to honor the member pricing rates established and communicated by RideFresh for verified network drivers. These rates are separate from standard public pricing and are non-negotiable at the point of service once a driver has completed a valid QR check-in. RideFresh will not direct drivers to locations that cannot confirm member rate compliance. Vendors retain the right to set their own public pricing for non-member customers.
Fees, Payments & Sales Tax
There are no setup fees or monthly subscription fees for participating in the RideFresh partner network. Vendors are subject to a per-service platform fee that applies only when a driver service is completed through the RideFresh platform. Fee rates, payment schedules, and reconciliation procedures are communicated during onboarding and are subject to change with 30 days' advance written notice.
Payment Processing: Payouts to vendors are processed through Stripe Connect. Vendors must complete Stripe's identity verification process to receive payouts. Payouts are subject to Stripe's Terms of Service and standard processing timelines.
New York State Marketplace Facilitator — Sales Tax Collection Notice: RideFresh Solutions LLC is registered to collect New York State sales tax and will collect sales tax on all taxable sales of tangible personal property that it facilitates for marketplace sellers for delivery to a New York State address. This provision will have the same effect as if the marketplace provider had issued Form ST-150 to its marketplace sellers. [Tax Law §§ 1101(e), 1131(1), 1132(l)(1), 1133(f), 1136(a)(4), 1142(15)]
Because this publicly available agreement contains the statement above (as permitted by the Tax Department in lieu of Form ST-150), marketplace sellers (Vendors) participating in the RideFresh platform do not need to obtain Form ST-150 from RideFresh Solutions LLC. Car wash and detailing services facilitated through the platform are subject to the combined New York State and local sales tax rate applicable at the point of service (8.625% in Nassau and Suffolk Counties). RideFresh collects this tax from customers at checkout via Stripe Tax and remits it directly to the New York State Department of Taxation and Finance.
Vendors are solely responsible for their own federal, state, and local income tax filings on amounts received through the RideFresh network. Sales tax on transactions processed through the platform is fully handled by RideFresh as the marketplace facilitator.
Independent Contractor Relationship
Nothing in these Vendor Terms creates an employment, agency, franchise, joint venture, or partnership relationship between the Vendor and RideFresh Solutions LLC. Vendors are independent businesses. RideFresh does not control day-to-day operations, staffing, or service delivery at partner locations. Vendors are solely responsible for their employees, independent contractors, compliance with employment and labor laws (including the NY Car Wash Accountability Act), and the quality of services they provide to drivers.
Insurance Requirements
Vendors must maintain, at their own expense, the following minimum insurance coverages during their participation in the RideFresh network:
• Commercial General Liability: Minimum $1,000,000 per occurrence / $2,000,000 aggregate
• Workers' Compensation: As required by New York State law for all employees
• Auto Liability (if applicable): Minimum $500,000 combined single limit
Vendors must provide proof of insurance upon request and must notify RideFresh within 5 business days of any material change to or lapse in coverage. RideFresh reserves the right to suspend a vendor's network participation if insurance requirements are not met.
Limitation of Liability
RideFresh Solutions LLC does not guarantee any minimum volume of driver bookings, revenue outcomes, or business results for partner locations. To the fullest extent permitted by law, RideFresh shall not be liable for any indirect, incidental, or consequential damages arising from participation in the network, including loss of revenue or business opportunity. RideFresh's total liability to any Vendor shall not exceed fees paid to RideFresh in the three months preceding the claim.
Termination
Either party may terminate the vendor partnership agreement at any time with 14 days' written notice. RideFresh reserves the right to suspend or terminate a vendor's network participation immediately and without notice in cases of fraud, abuse, material misrepresentation, failure to maintain required licenses or insurance, or violation of applicable labor laws. Upon termination, the vendor's listing will be removed and driver traffic routing to that location will cease within 24 hours.
Modifications to Terms
RideFresh Solutions LLC reserves the right to update these Vendor Terms at any time. Material changes will be communicated to active partner vendors via email at least 30 days before the effective date. Continued participation in the network after the effective date of changes constitutes acceptance of the revised terms.
Governing Law
These Vendor Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the state or federal courts located in Nassau or Suffolk County, New York.
